Execution and signature of company documentation

Officials in the receiving jurisdiction will often ask for documents to be signed in front of a Notary Public. The signature and seal of a Notary Public will verify to Governments or officials of other countries that the relevant checks have been carried out to ensure full compliance with the relevant requirements both here and abroad.

Certificates of Incorporation

A Certificate of Incorporation is issued by the Registrar of Companies when a business is incorporated in the UK and is published on the Registrar of Companies website. You may be asked for this document to be notarised or legalised for use overseas.

Certificate of Good Standing

A Certificate of Good Standing is issued by Registrar of Companies to verify the existence and certain details of a company in England and Wales. Foreign authorities may request that companies wishing to conduct business in their country provide this document, often asking for it to be notarised.

Articles of Association

A company’s Articles of Association is one of the important constitutional documents required for a company in England and Wales. Notarised copies may be needed for applications to foreign authorities, for example, to set up overseas offices and bank accounts.

Details of Company Directors

It may be a requirement, when conducting business overseas, to provide details of company directors. This may include additional documentation than contained on the register maintained by the Registrar of Companies, for example, certified copies of passports.

Documentation and Instructions

It will save time, expense and mistakes if, as long before the appointment as possible, you can let us have scans or photocopies of:

  • The documents to be notarised;
  • Any letter or other form of instruction which you have received about what has to be done with the documents;

Identification and Authority

If a document is to be signed by you on behalf of a company, a partnership, a charity, club or other incorporated body, there are further requirements. In each case the following is likely to be required:

  • Evidence of identity of the authorised signatory;
  • Photographic ID ie passport or driving licence) and proof of address (ie a utility bill or bank statement etc) for the authorised signatory;
  • A Letter of Authority, Minute, Resolution or Power of Attorney, authorising the signatory to sign the document.

Additional information may also be required, for example, around corporate structure etc.
