We have set out below examples of the services we provide for professionals.

Please note – this is not intended to be an exclusive list. There are numerous other types of documents which you may be asked to be signed, attested, or certified by a Notary Public. Whatever type of document is involved, we will be able to assist you with notarisation.

General Notary Services

Execution and Signature of Documents

Officials of other countries may request that a Notary Public is present at the signing of any kind of document. The signature and seal of a Notary Public will verify to Governments or officials of other countries that the relevant checks have been carried out to ensure full compliance with the relevant requirements both here and abroad.

Affidavits

An Affidavit is a written statement from a person. It must be signed by the person and by a Notary Public – or other authorised person. Affidavits are often required in court proceedings.

Oaths

An oath is a written statement from a person, which they swear to be true, invoking a divine witness (i.e. God). This may not be appropriate for people with other or no religious beliefs. A declaration is a non-religious alternative to an oath. The signing of oaths must be witnessed by a Notary Public – or other authorised person.

Statutory Declarations

A Statutory Declaration is a statement in a particular form to affirm that something is true, to the best knowledge of the person making the declaration.  Examples of where a Statutory Declaration is required include passport applications or name changes.  Statutory Declarations have to be signed in the presence of an authorised person such as a Notary Public.

Companies/Limited Liability Partnerships - Incorporation/Good Standing

Certificate of Incorporation

A certificate of incorporation is issued by the Registrar of Companies when a business is incorporated in the UK as a company or limited liability partnership and is published on the Registrar of Companies website.  You may be asked for this document to be notarised or legalised for use overseas. 

Certificate of Good Standing

A certificate of good standing is issued by Registrar of Companies to verify the existence and certain details of a company or limited liability partnership in England and Wales.  Foreign authorities may request that companies wishing to conduct business in their country provide this document, often asking for it to be notarised. 

Constitutional Documentation

Articles of Association

A company’s articles of sssociation is one of the important constitutional documents required for a company in England and Wales.  Notarised copies may be needed for applications to foreign authorities, for example, to set up overseas offices and bank accounts.

Memorandum of Association

In certain cases notarised copies of a companies’ Memorandum of Association may be required. For historic companies, this document set out its objectives and parameters of activity.

Details of Company Directors

It may be a requirement, when conducting business overseas, to provide details of company directors. This may include additional documentation than contained on the register maintained by the Registrar of Companies, for example, certified copies of passports.

Limited Liability Partnerships

Limited Liability Partnerships do not have articles of association, memorandum of association or directors.  They do not file members agreements with the Registrar of Companies.  Additional requirements maybe required in relation to such entities.

Financial

Certified Accounts

Certified Accounts are copies of a company’s/limited liability partnerships latest accounts, lodged with The Registrar of Companies. It is often a requirement to provide foreign authorities with notarised and legalised copies of these accounts. 

Foreign Country VAT

Registering for VAT in another country may require documentation to be notarised by a Notary Public.  Requirements will vary depending on the particular country involved. Documents may include certified copies of passports or other, powers of attorney, and proof of VAT in the UK etc.

Board Meetings & Company Actions

Board Resolutions

Board resolutions may be required for some company actions relating to transactions in other countries, for example, if a board decides to transfer Power of Attorney to a foreign person. Board resolutions do not need to be witnessed directly by a Notary Public.

Shareholder Resolutions

Shareholder resolutions may be required in certain circumstances for companies where a matter involving a foreign jurisdiction.  Shareholder resolutions do not need to be witnessed directly by a Notary Public.

Foreign Trade

Trade Agreements

In order to carry out commercial activities in foreign jurisdictions, Notaries are often needed to prepare, certify, and authenticate various documents. 

Distribution Agreements

A Distribution Agreement involves a distributor who buys products from a manufacturer or other seller, before selling them to their own customers. When distributors and manufacturers are in different countries, the assistance of a Notary Public may be required. This helps to ensure that agreements are valid to authorities in all relevant jurisdictions.

International Trademarks

Registering international trademarks may require the assistance of a Notary Public. Notaries to certify documents for use in foreign jurisdictions.

Qualifications & Professional Accreditations

Authentication of Degrees and Diplomas

Often, when professionals work in another country, foreign organisations may request that their qualifications are authenticated by a Notary Public.
